Experience
- In the area of Banking, Finance & Fintech, Faith has acted for various commercial banks, Saccos and international lenders (including Iungo Capital B.V., Social Enterprise Fund for Agriculture in Africa (SEFAA) and Agri-Business Capital Fund) in the structuring of credit facilities and drafting and perfection of various security documents including Loan Agreements, All Assets Debentures, Specific Debentures, Pledge on Share, Pledge on Stock, Pledge on Bank Account, inter –creditor agreements, collateral management agreements, deed of subordination, personal guarantees and indemnities, corporate guarantees, legal charges, board of directors’ resolutions for the borrowers, commercial benefit agreement, pledge on receivables, deed of assignment of receivables and among other documents.
- As a Legal Due Diligence practitioner, Faith has acted for various local and international investors and fund managers including Sahel Capital in the conduct of comprehensive legal due diligence over investees and offering of legal due diligence reports and related transaction legal opinions.
- As a Legal Audit & Compliance Practitioner, she has acted for corporate clients in legal audit of their level of compliance with the laws and regulations applicable to their industrial sectors.
- Faith has acted for developers and purchasers in real estate matters including provision of legal advisory to the developers on compliance with laws and regulations applicable in the construction industry.
- She has advised various local and international clients on matters related to employment law including the drafting of various types of employment contracts and Human Resource Policies, advising on employee-exits as well as other labor related issues.
- She has registered various intellectual property rights on behalf of local and international proprietors.
- Faith has advised on and drafted a wide range of commercial contracts as well as registered various forms of business entities and offered corporate secretarial services.
- Acted for international clients in the obtaining of various forms of immigration documents to facilitate their entry and stay in Kenya.
